By accessing and using the Yonmo web application, you agree to be bound by these Terms of Service, which establish a contractual relationship between you and Yonmo. If you do not agree to these Terms, you may not access or use the application. These Terms expressly supersede prior agreements or arrangements with you. Yonmo may immediately terminate these Terms or any services with respect to you, or generally cease offering or deny access to the services or any portion thereof, at any time for any reason.
2. User Accounts
Users must register for an account by signing in through Sign in with Apple or Sign in with Google. Each user is responsible for safeguarding their account and any activities conducted therein. Users agree to notify Yonmo immediately of any unauthorized use of their account. Yonmo is not liable for any loss or damage arising from user failure to comply with this requirement.
3. Services Description
Yonmo offers a digital platform enabling interactions between customers and businesses, facilitating user engagement activities such as participation in polls and providing feedback which may result in the issuance of digital tokens called "VIP Tokens".
4. VIP Tokens
Issuance and Use of VIP Tokens: VIP Tokens may be granted to users as a reward for engaging activities within the platform. These tokens are issued as digital assets on a blockchain in the form of ERC-721 and ERC-1155 tokens.- Blockchain Dependence: The operation and reliability of these tokens depend on the blockchain technology used. Users are responsible for understanding the associated technologies and risks.
- Wallet Integration: Tokens are stored in a digital wallet that is automatically created for users when they register. Users are responsible for all activities that occur within their wallet and must safeguard their wallet credentials.
- No Guarantee of Issuance: The decision to issue tokens is at the sole discretion of Yonmo and participating businesses. There is no guarantee that users will receive tokens for any given activity.
5. Prohibited Activities
Users are prohibited from:- Using the service for any unlawful purpose;
- Engaging in any activity that interferes with or disrupts the service (or the - servers and networks which are connected to the service);
- Attempting to copy, duplicate, reproduce, sell, trade, or resell our services for any purpose without explicit permission from Yonmo;
- Reverse engineering any aspect of Yonmo in an attempt to access source codes, underlying ideas, or algorithms.
6. Intellectual Property
The service and all content, trademarks, and data on it are the exclusive property of Yonmo or its licensors. No transfer of intellectual property is made through your use of the service. You may not use content from our service unless you obtain permission from its owner or are otherwise permitted by law.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." Yonmo DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN ADDITION, Yonmo MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES OR ANY SERVICES OR GOODS REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. Yonmo DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD PARTIES. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.
8. Assumption of Risks
YOU ACKNOWLEDGE AND AGREE THAT THERE ARE INHERENT RISKS ASSOCIATED WITH UTILIZING AN INTERNET-BASED SERVICE THAT INCLUDES BLOCKCHAIN TECHNOLOGY AND INTERACTING WITH OTHER USERS IN PERSON. SUCH RISKS INCLUDE BUT ARE NOT LIMITED TO THE RISK OF LOSS OF PRIVATE KEYS, THEFT OF CRYPTOCURRENCY ASSETS, DATA LOSS, AND HACKING. THE USE OF BLOCKCHAIN TECHNOLOGY CREATES AN IRREVOCABLE RECORD OF TRANSACTIONS, AND YOU ACKNOWLEDGE THAT YOUR TRANSACTIONS MAY BE IRREVERSIBLY RECORDED. YOU ARE ADVISED TO SAFELY AND CAUTIOUSLY INTERACT WITH OTHER USERS OF THE SERVICE. BY USING THE SERVICE, YOU AGREE TO ACCEPT SUCH RISKS AND YONMO IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF USERS ON THE SERVICE.
9. Indemnification
You agree to indemnify and hold Yonmo and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with: (i) your use of the service or services or goods obtained through your use of the service; (ii) your breach or violation of any of these Terms; (iii) Yonmo's use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Providers.
10. International Use
Yonmo makes no representation that the Yonmo Software is available to or appropriate for access or use outside the United States of America. Any access to or use of the Yonmo Software in or from any territory or jurisdiction in which it is unlawful to do so is strictly prohibited. You agree that all such acts are at your own risk and that you will comply with all applicable rules, regulations and laws, including, without limitation, all laws and regulations in respect of export control.
11. Copyright and Intellectual Property Notice Policies
To file a notice of copyright infringement respecting any Yonmo Software content, you must provide a written notice to us that complies with applicable law (including, in the U.S., the Digital Millennium Copyright Act). To do so, please send a DMCA Takedown notice to [email protected].
12. Applicable Law
The laws of the State of New York and the United States will govern these Terms of Use and any dispute of any kind between you and Yonmo arising out of or in connection with these Terms of Use, or any subject matter hereof or thereof (including, but not limited to, any Yonmo Software content), without regard to principles of conflict of laws.
13. Disputes; Binding Arbitration; Waiver of Right to Class Action
Any dispute relating in any way to your access to or use of the Yonmo Software, any products or services marketed, sold or distributed on or through the Yonmo Software, or these Terms of Use, shall be resolved in a binding arbitration proceeding to be held in New York, NY, U.S.A. in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitrator may award attorneys’ fees and other related arbitration expenses, as well as pre- and post-judgment interest on any award of damages, to the prevailing party, in their sole discretion. The parties agree that one arbitrator shall be required. Any award of the arbitrator shall be deemed confidential information, except to the extent public disclosure of such information is required by applicable securities laws or regulations. Further, to the fullest extent allowable by law, you explicitly agree and covenant to waive any and all right to join any class action law suit, litigation, or group proceeding against Yonmo, including, but not limited to, actions under the Federal Rules of Civil Procedure Rule 23. Notwithstanding the above, Yonmo shall have the right to apply for an injunction or other emergency relief in any jurisdiction.
14. Equitable Relief
You understand and agree that money damages would not be an adequate remedy for any breach by you of these Terms of Use and that Yonmo shall be entitled to equitable relief, including preliminary and permanent injunctions and specific performance, as well as recovery of its court costs, expenses and reasonable attorneys’ fees, if you breach or threaten to breach any provision hereof or thereof. Such remedies shall not be exclusive, shall be in addition to all other remedies available at law, equity or otherwise for your breach of these Terms of Use, and shall be available to Yonmo without requirement that it post any bond or prove any actual damages.
15. Terms of Agreement; Severability
Except as otherwise expressly agreed to by Yonmo in writing, these Terms of Use and the Additional Terms: (a) constitute the entire agreement between you and Yonmo with respect to the subject matter hereof, including, but not limited to, your access to and use of the Yonmo Software; and (b) supersede all prior representations and agreements, whether oral, written or other, between you and Yonmo with respect to such subject matter.No terms or conditions of any purchase order, agreement, offer, sales or order acknowledgment, or other document or communication that is different from, inconsistent with or contrary or in addition to these Terms of Use or any of the Additional Terms shall be of any force or effect unless accepted in writing by Yonmo. The Additional Terms of your agreement with Yonmo with respect to any specific content or feature of the Yonmo Software are provided via links that will appear in or through your use of that content or feature. Certain Additional Terms can be found, for example, in the Privacy Policy.If any provision of these Terms of Use or of the Additional Terms is held to be void, invalid or unenforceable in any jurisdiction, the provision shall be severable without in any manner affecting its validity or enforceability in any other jurisdiction or the validity or enforceability of the remaining provisions in that or any other jurisdiction. Such severed provision shall be deemed modified to the limited extent required to permit its enforcement in a manner that most closely reflects the intention of the parties as expressed in these Terms of Use and the Additional Terms.
